We advise on the planning aspects of a number of different forms of transaction.

We commonly undertake planning due diligence in support of our clients’ acquisition of sites which involves investigating the planning history, establishing the authorised use, ascertaining the position on compliance with any existing planning permissions and agreements and may also extend to advising on the prospects for any redevelopment proposals.

We are also well equipped to assist in relation to the relevant transactional documentation, from drafting and negotiating planning conditionality wording in agreements for lease to drafting and negotiating planning warranties in corporate sale and purchase agreements. We also support clients selling sites in reporting on the planning position and inputting into sale documentation.

We also advise on financing transactions, typically in supporting our clients to secure development finance through reporting on the planning position and inputting as necessary into the financing documentation.

Our transactional work often takes the form of supporting the corporate, financing and real estate teams of other legal practices which are able to benefit from our specialist planning expertise through a carefully orchestrated seamless approach.
